These Terms and Conditions are designed to outline the mutual commitments and expectations between Edistys and our clients. By engaging our services, you agree to comply with the terms set forth herein. If you do not agree with any part of these terms, we advise you to refrain from using our services.

We value transparency, quality, and client satisfaction, and these Terms and Conditions ensure a clear understanding of our working relationship, fostering a successful and productive collaboration.

By utilizing the services of Edistys, you agree to adhere to these Terms and Conditions. If you disagree with any part of these terms, you should refrain from using our services.

1. Services Provided

Edistys offers a variety of services, including but not limited to high-quality branding, digital design, website development, digital marketing, creative solutions, and related services (collectively referred to as “Services”).

1.1. Quotations and Proposals

All quotations and proposals provided by Edistys are valid for 30 days from the date of issue. Acceptance of a quotation or proposal will be deemed as acceptance of these Terms and Conditions.

2. Payment

Clients agree to pay the fees outlined in the proposal or agreement from Edistys. Payments are due as per the agreed schedule and delays in payment may lead to a suspension or termination of services.

2.1. Fees and Payment Terms

  • Invoices will be issued according to the payment schedule agreed upon in the project proposal.
  • Payments are due within 7 days of the invoice date unless otherwise specified.
  • Late payments may incur interest at a rate of 1.5% per month or the maximum allowed by law, whichever is less.

3. Refund Policy

3.1. Eligibility

Refunds may be granted in the following cases:

  • Service Non-Delivery: If Edistys fails to deliver the agreed-upon services.

3.2. Refund Requests

To request a refund, clients must send a written request to [email protected] within 7 days after service completion. The request should include:

  • Client’s name and contact information
  • Details of the service
  • Reasons for the refund request
  • Any relevant supporting documents

3.3. Refund Process

Edistys will review the refund request within 7 business days. Additional information may be requested from the client if necessary. If the refund is approved, it will be processed within 7 business days through the original payment method.

3.4. Non-Refundable Services

Certain services are non-refundable, including but not limited to consultation fees, assessment fees, video production charges, model fees, and any expenses incurred by Edistys on behalf of the client.

4. Client Responsibilities

Clients must provide all necessary information, access, and approvals required for the successful completion of the Services. Delays caused by the client may impact project timelines.

5. Warranties and Disclaimers

  • Edistys warrants that it will provide the services with reasonable care and skill.
  • Except as expressly provided in this Agreement, Edistys makes no warranties or representations regarding the services provided, and all implied warranties are expressly disclaimed.

6. Limitation of Liability

  • Edistys' liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the amount paid by the Client for the services in question.
  • Edistys shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenue, even if advised of the possibility of such damages.

7. Termination

  • Either party may terminate this Agreement by giving 30 days' written notice to the other party.
  • In the event of termination, the Client will be liable for payment of all work completed up to the date of termination.

8. Intellectual Property

  • All materials, content, and intellectual property created by Edistys during the course of the project shall remain the property of Edistys until all fees have been paid in full.
  • Upon full payment, ownership of the final deliverables will transfer to the Client, subject to any pre-existing third-party rights.
  • Edistys retains the right to use completed projects for promotional purposes.

9. Confidentiality

Both parties agree to keep confidential all information obtained from the other party that is designated as confidential or that reasonably should be understood to be confidential.

10. Changes to Terms

Edistys may update these Terms and Conditions at any time. Clients will be informed of any changes and continued use of the Services signifies acceptance of the revised terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Edistys operates, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If the dispute cannot be resolved amicably, it shall be submitted to mediation or arbitration as agreed by both parties.

13. Specific Project Terms and Conditions

13.1. Digital Marketing Projects

  • Scope of Work: The scope of the digital marketing project will be outlined in the project proposal and may include social media marketing, content marketing, SEO & SEM, and email marketing.
  • Client Responsibilities: Provide timely feedback and approvals. Supply all necessary content, such as images, videos, and text, as well as access to relevant platforms and accounts.
  • Revisions and Change Requests: The project proposal will include a specified number of revisions for each aspect of the campaign. Additional revisions or change requests may incur additional fees. Significant changes to the project scope will require a new quotation and agreement.
  • Performance and Results: Edistys will make reasonable efforts to achieve the marketing goals outlined in the project proposal. However, Edistys does not guarantee specific results or outcomes, as these can be influenced by numerous external factors.
  • Reporting and Analytics: Regular reports on campaign performance will be provided as specified in the project proposal. Access to real-time analytics may be provided where applicable.

13.2. Web Design and Development Projects

  • Scope of Work: The scope of the web design and development project will be outlined in the project proposal and may include website design, web development, e-commerce solutions, and maintenance and support.
  • Client Responsibilities: Provide timely feedback and approvals. Supply all necessary content, such as text, images, and videos, in a timely manner. Ensure the availability of any required third-party services, such as hosting and domain registration.
  • Revisions and Change Requests: The project proposal will include a specified number of design and development revisions. Additional revisions or change requests may incur additional fees. Significant changes to the project scope will require a new quotation and agreement.
  • Testing and Deployment: Edistys will conduct thorough testing of the website or application before deployment. The Client is responsible for final review and approval before the website or application goes live.
  • Maintenance and Support: Ongoing maintenance and support services can be provided under a separate agreement. Maintenance services include updates, backups, and security checks.

13.3. Creative Design Projects

  • Scope of Work: The scope of the creative design project will be outlined in the project proposal and may include brand identity, brand guidelines, digital materials, print materials, and illustrations and iconography.
  • Client Responsibilities: Provide timely feedback and approvals. Supply any necessary information about the company, including existing branding materials.
  • Revisions and Change Requests: The project proposal will include a specified number of revisions for each design element. Additional revisions or change requests may incur additional fees. Significant changes to the project scope will require a new quotation and agreement.
  • Deliverables: Final design deliverables will be provided in the agreed formats (e.g., digital files, print-ready files). The Client is responsible for the production of any print materials unless otherwise specified.
  • Intellectual Property: All design concepts and final deliverables remain the property of Edistys until full payment is received. Upon full payment, ownership of the final deliverables will transfer to the Client, subject to any pre-existing third-party rights.

14. Miscellaneous

14.1. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral.

14.2. Amendments

Any amendments or modifications to this Agreement must be in writing and signed by both parties.

14.3. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

14.4. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving the right. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
